1. Who we are and what this covers
Inkwell is operated by Idey Technologies Ltd (“Inkwell”, “we”, “us”). By creating an account, signing a document through an Inkwell link, or otherwise using Inkwell, you agree to these terms and to our Privacy Policy. If you use Inkwell for an organisation, you confirm you can accept these terms for it.
If you only open a link to sign a document someone sent you, these terms still apply to that use, but you don't need an account.
2. What Inkwell does
Inkwell lets you create or upload documents, keep a history of their versions, review them with other people, and collect electronic signatures. We also generate a Certificate of Completion and a fingerprint that lets anyone check a signed file hasn't been changed.
Inkwell is software, not a law firm. We don't give legal advice, we don't check the content of your documents, and we're not a party to any agreement you make using Inkwell.
3. Electronic signatures
Electronic signatures are legally recognised in many countries, but the rules differ by place and by type of document. Some documents (for example wills, certain property transfers, or documents that must be notarised) may not be valid with an electronic signature at all.
Inkwell provides a standard electronic signature backed by email verification and an audit trail. It is not a “qualified” or government-issued digital signature. It is your responsibility to decide whether this is appropriate for what you're signing. When in doubt, ask a lawyer.
4. Your account
- You sign in with your email address. Keep your inbox secure — anyone who can read your sign-in emails can access your account.
- Give us accurate information and keep it up to date.
- You are responsible for what happens under your account, including documents you send and people you invite.
- You must be at least 18, or the age of majority where you live, to use Inkwell.
5. Your documents and your content
Your documents are yours. We don't claim ownership of anything you upload, write or sign. You give us permission to store, process and display your content only as needed to run Inkwell for you and the people you share it with — for example, showing a document to a signer you invited, or merging signatures into a PDF.
You confirm that you have the right to upload your documents and to share them with the people you invite, and that doing so doesn't break any law or anyone's rights. You're responsible for the content of your documents and for having the right to collect signers' personal details.
Saved versions are permanent while your account is active: that's what makes the history trustworthy. Signed documents are locked and can't be edited.
6. Acceptable use
You agree to follow our Acceptable Use Policy. In short: don't use Inkwell for anything illegal, deceptive or harmful, and don't try to break or abuse the service.
7. Plans, payments and renewals
- Inkwell has a Free plan and paid plans (currently Pro and Business). What each includes is shown on our pricing page, and we may change plans for new customers at any time.
- Paid plans are billed in advance, monthly or yearly, through our payment partner Paystack. We never see or store your full card details.
- Paid plans renew automatically until you cancel. You can cancel any time from Plan & billing; you keep your paid features until the end of the period you paid for.
- If a renewal payment fails, we may retry it and give a short grace period before your account returns to the Free plan. Your documents are never deleted because of this, but Free-plan limits apply (for example, older versions are locked until you upgrade again).
- Prices may include or exclude taxes depending on where you are; any taxes we must charge will be shown at checkout. If we change the price of your plan, we will tell you in advance and the new price applies from your next renewal.

8. Payments between people
Pro and Business users can ask a signer to pay an amount as part of signing (for example a deposit). That payment is a transaction between the signer and the sender. Inkwell only passes it through Paystack to the sender's bank account and is not a party to the underlying deal, the seller of anything, or responsible for goods or services.
- Senders are responsible for what they charge for, for any taxes, and for refunds or disputes with the people who paid them. We cannot reverse a payment on a sender's behalf.
- Paystack's fees are paid by the sender and shown by Paystack. We may charge a small per-payment fee, which we will show before you turn the feature on.
- We may refuse, hold or reverse payments we reasonably believe are fraudulent or break the law or the Acceptable Use Policy.
9. API keys, webhooks and teams
- API keys act as you. Keep them secret; you are responsible for what is done with them. Revoke a key if it may have leaked.
- Webhooks may only point at services you control or are allowed to use. We may disable a webhook that harms our service or others.
- If you add people to a team workspace, you are responsible for who you add, and the team can see what is shared with it. Team owners and admins can remove people at any time.
10. Free plan and fair use
Limits (such as signature requests per month, signers per document, or file size) are described on the pricing page and enforced automatically. We may limit or suspend accounts that put an unreasonable load on the service or try to get around limits.
11. Ending your account
You can stop using Inkwell at any time. You can download your signed documents before you go; ask us at Inkwell <[email protected]> if you want your account and data deleted.
We may suspend or close accounts that break these terms or the Acceptable Use Policy, or that put other people at risk. Where reasonable we'll warn you first and let you download your documents. Some records (such as billing records, and audit data on documents other people signed) may need to be kept after an account is closed, as explained in the Privacy Policy.
12. Availability and changes to the service
We work hard to keep Inkwell reliable, but we can't promise it will be available all the time or free of errors. We may add, change or remove features. If we make a change that significantly reduces what a paid plan includes, we'll give you reasonable notice.
13. Our responsibility
Inkwell is provided “as is”. To the extent the law allows, we aren't liable for indirect or consequential losses (such as lost profits or lost business), or for losses caused by documents you or others create, send or sign, by a signer's identity being falsely claimed despite our checks, or by events outside our control.
Our total liability to you for any claim related to Inkwell is limited to the amount you paid us in the 12 months before the claim (or ₦50,000 / US$50 if you're on the Free plan). Nothing in these terms limits liability that can't legally be limited, such as for fraud or for death or personal injury caused by negligence.
14. If something you did causes a claim
If a third party brings a claim against us because of your documents, your instructions, or your breach of these terms, you agree to cover our reasonable costs of dealing with it, except where we were at fault.
15. Changes to these terms
We may update these terms. If a change is important, we'll email you or show a notice in Inkwell before it takes effect. If you keep using Inkwell after that, you accept the updated terms. If you don't agree, you can close your account.
16. Governing law and disputes
These terms are governed by the laws of The Federal Republic of Nigeria. We hope to resolve any problem by talking first — write to Inkwell <[email protected]>. If we can't, the courts of that country have jurisdiction, unless your local consumer law gives you the right to go to court where you live.
